1. Acceptance of Terms

By downloading, installing, accessing, or using the Pyract application (the "App") or the Pyract website at pyract.com and its subdomains (the "Website") (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

These Terms constitute a legally binding agreement between you ("you," "your," "User") and Pyract Technologies ("Pyract," "we," "us," "our").

We may also provide supplemental terms or policies for specific features. Those supplemental terms become part of your agreement with us when you use those features.

5. Subscriptions, Pricing & Payments

5.1 Pricing

After the free trial period, the Services are available for $1.00 USD per year. This price includes access to all features. We reserve the right to change pricing with 30 days' advance notice.

5.2 Regional Pricing

Pyract may be offered for free in select countries at our discretion. Eligibility for free access is determined by the country associated with your Google Play or payment account.

5.3 Payment Processing

Payments are processed through Google Play (for Android) or our designated payment processor (for other platforms). By subscribing, you authorize recurring annual charges until you cancel. All payments are subject to the terms of the applicable payment processor.

5.4 Refunds

Refund requests are handled in accordance with the refund policies of Google Play or the applicable payment processor. For direct billing, you may request a refund within 30 days of any charge by contacting support@pyract.com.

5.5 Taxes

Prices are exclusive of applicable taxes (including Canadian GST/HST/PST/QST and US state/local sales tax). You are responsible for any taxes associated with your subscription, except where we are required by law to collect them.

New users receive a 3-month free trial with full access to all features. The free trial begins when you create your account. At the end of the trial:

8.1 Nature of AI Output

The Services use third-party AI models (including Anthropic Claude and OpenAI) to generate text, voice responses, visual analysis, and automated actions. You acknowledge that:

Important: Pyract's Desktop Autopilot can control your mouse, keyboard, and applications. While safety rails are in place, you are ultimately responsible for the actions it performs on your system. Always review automated actions before confirming, especially those involving purchases, account access, or irreversible operations.

9. Desktop Control & Automation

9.1 Consent & Permissions

The Desktop Autopilot feature requires explicit system-level permissions to control your mouse, keyboard, and screen. By enabling this feature, you consent to the App performing these actions as directed by you through the AI interface.

9.2 Safety Rails

Pyract includes safety mechanisms for automated actions, including:

These safety features are provided as a convenience and do not guarantee prevention of unintended actions. You should always exercise caution when using automation features.

9.3 Third-Party Applications

When Pyract interacts with third-party applications on your behalf, you are bound by those applications' terms of service. Pyract is not responsible for any violation of third-party terms resulting from automated actions.

10. Voice, Vision & Clipboard Features

10.1 Voice Recording

The voice-to-voice feature captures audio from your microphone when activated. Voice data is processed in real time and is not stored unless you enable chat history. By using voice features, you consent to this audio capture and processing.

10.2 Screen Capture

The Screen Vision feature captures screenshots of your display when you invoke it. These screenshots are sent to AI services for analysis. You are responsible for ensuring that screen captures do not contain sensitive information belonging to third parties that you are not authorized to share.

10.3 Clipboard Monitoring

The Universal Clipboard feature monitors your system clipboard when enabled. Clipboard content may be synced across your devices via Google Drive. You are responsible for ensuring that clipboard data does not include information you do not wish to sync (such as passwords or sensitive credentials).

10.4 Disabling Features

You may disable any of these features at any time through the App's Settings. Disabling a feature immediately stops the associated data collection.

The Services integrate with and rely upon third-party services, including:

If a third-party service becomes unavailable or changes its terms, affected features of Pyract may be modified or discontinued.

12. Intellectual Property

12.1 Our Intellectual Property

The Services, including the App, Website, design, code, features, branding, logos, and documentation, are owned by Pyract Technologies and are protected by Canadian and international copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

12.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to:

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

16. Limitation of Liability

To the maximum extent permitted by applicable law (including the applicable consumer protection laws of Canada and the United States):

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Canadian or US law, including liability for fraud or gross negligence.

You agree to indemnify, defend, and hold harmless Pyract Technologies, its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

18. Dispute Resolution

18.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

18.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@pyract.com and attempt to resolve the dispute informally for at least 30 days.

18.3 Jurisdiction

If informal resolution is unsuccessful, any legal action or proceeding shall be brought exclusively in the courts located in the Province of Ontario, Canada. You consent to the personal jurisdiction of these courts.

18.4 Class Action Waiver

To the maximum extent permitted by law, you agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this dispute resolution section shall be deemed void.

18.5 US-Specific Provisions

For users located in the United States: if any part of Section 18.3 (Jurisdiction) is found unenforceable, disputes may alternatively be resolved through binding arbitration administered by a recognized arbitration provider, with the arbitration taking place in a mutually agreed location. The arbitrator's decision shall be final and binding.

These Terms, together with the Privacy Policy and any supplemental terms for specific features, constitute the entire agreement between you and Pyract regarding the Services. These Terms supersede all prior agreements, communications, and understandings, whether written or oral.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
